  • Subscription: The license granted to the Client to access and use the Platform per these Terms.

2. Eligibility & Account Registration

  • The Platform is intended for business use only.
  • Clients must provide accurate information during registration.
  • Accounts are non-transferable and may not be shared outside the Client's organization.

3. Subscription & Payment Terms

  • Clients must select a subscription plan, and payment must be made in accordance with the chosen plan.
  • Fees are non-refundable unless otherwise specified in a separate written agreement.
  • Late payments may result in suspension or termination of access to the Platform.

4. Platform Use & Restrictions

  • Clients may use the Platform solely for loyalty program management and related business operations.
  • Clients shall not:
    • Reverse engineer, copy, or modify the Platform.
    • Use the Platform for unlawful or fraudulent activities.
    • Interfere with the security, integrity, or performance of the Platform.

5. Data Ownership & Privacy

  • Client Data: Clients retain ownership of all data collected through their loyalty programs.
  • Platform Data: The Company may aggregate anonymized usage data for analytics and improvements.
  • Data handling and storage shall comply with applicable privacy laws.

6. Service Availability & Support

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted service.
  • Technical support is provided per the terms of the Client’s selected subscription plan.
  • Scheduled maintenance may occur with prior notice.

7. Termination & Suspension

  • Either party may terminate the agreement wit written notice.
  • We reserve the right to suspend or terminate access due to:
    • Non-payment of fees.
    • Violation of these Terms.
    • Security threats or fraud detection.
  • Upon termination, Clients will lose access to the Platform, and any remaining data will be deleted after 30 days.

8. Limitation of Liability

  • The Platform is provided "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages arising from Platform use.
  • Our total liability shall not exceed the amount paid by the Client in the last six months

9. Confidentiality

  • Both parties agree to keep all non-public information confidential.
  • Clients may not disclose proprietary features or business strategies derived from the Platform.

10. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of California.
